García Sayán Abogados advised Unión Andina de Cementos S.A.A. (UNACEM) through its subsidiary Inversiones Imbabura S.A. in the acquisition from Finlatam Vermögensverwaltungs GmbH more than 98.57% of shares of Lafarge Cementos S.A., one of the biggest cement companies in Ecuador. The acquisition was executed on May 2014, but was subject to obtaining various regulatory permits in Ecuador, and finally obtained, closing the operation in the Ecuador Stock Exchange on November 25, 2014. García Sayán Abogados, advised Compañía de Minas Buenaventura S.A.A. in the acquisition of 51% of the shares of Canteras del Hallazgo S.A.C. owned by Minera Gold Fields Perú S.A. As a result, Compañía de Minas Buenaventura S.A.A. holds 100% of shares of Canteras del Hallazgo S.A.C. Canteras del Hallazgo S.A.C. is owner of the gold, silver and copper mining project Chucapaca, located in Moquegua, Perú. The transaction amount involved a payment of US$ 81,000,000.00 and a royalty agreement of 1.5% of the mineral sales. The firm’s participation included the negotiation and execution of the Share Purchase Agreement, a Royalty Agreement, a Pledge Agreement, as well as the legal due diligence of Canteras del Hallazgo S.A.C.

García Sayán Abogados advised the client in the accusation of contaminating the Chinchaycocha Lake (Junin) because of their mining activities. Our firm position is to indicate that our client does not perform illegal activities and follow the environmental standard rules. The Court found no criminal liability for the company and closed the case.
