TRADING EMISSIONS PLC
Sector: Mergers and Acquisitions
On the purchase of a controlling interest in Electricidad Andina S.A., owner of the Santa Rita Hydroelectric Concession: García Sayán Abogados advised TEP, a British fund focused on investing environmental green friendly field projects in the purchase of 51% of the shares of Electricidad Andina S.A. from its founding shareholders. The transaction included the purchase of Certified Emission Reductions (CER's) arising from the project once the starting of its operations. (October, 2006)
 
CONSORCIO ENERGETICO DE HUANCAVELICA S.A.
Sector: Mergers and Acquisitions
In the acquisition of Hidroeléctrica Marañón S.R.L.: García Sayán Abogados advised Consorcio Energético de Huancavelica S.A., a 100% subsidiary of Compañía de Minas Buenaventura S.A.A., one of the largest Peruvian mining companies in the acquisition of Hidroeléctrica Marañón S.R.L. Consorcio Energético de Huancavelica S.A. and joined the US firm Franklin Park to enter into this deal as purchasers. (May, 2006).
 
PRIMA AFP
Sector: Mergers and Acquisitions
In the acquisition of AFP Unión Vida: García Sayán Abogados advised Prima AFP, a Peruvian Pension Fund Company that acquired AFP Unión Vida from Santander Group through a merger where Prima AFP absorbed AFP Unión Vida. This has been the first material merger that has taken place in the Peruvian pension funds market. (December, 2006).
 
AMERADA HESS CORPORATION
Sector: Energy and Mines
In the execution of the License Contracts for the exploration and production of hydrocarbons in Blocks 118, 119, and 120: García Sayán Abogados advised Amerada Hess Corp., whose branch in Perú executed with Perupetro S.A. the Blocks 118, 119 and 120 License Agreements for the performance of oil and gas exploration and production activities in the jungle areas of Loreto, San Martin, Ucayali, and Huánuco. These Contracts have a guaranteed Minimum Program including five periods for the exploration phase representing an estimated investment of US$106 million. Block 118 has an extension of 988,023 hectares, Block 119 of 960,489 hectares and Block 120 of 975,022 hectares. In all these contracts Amerada Hess will act as Operator for the first time after it returned to Perú in 2004.

PETRO-TECH PERÚANA S.A.
Sector: Energy and Mines
In the execution of the License Contract for the exploration and production of hydrocarbons in Block Z-36: García Sayán Abogados advised Petro-Tech Peruana S.A., a company that executed a License Contract for the performance of oil and gas exploration and production activities in the Ancash and Lima continental shelf. Operations will cover an extension of 1'000,000 hectares, approximately. The initial investment is estimated in US$20'000,000 during the seven-year exploration phase. (July, 2006)
 
CONOCO PHILLIPS
Sector: Energy and Mines
In the execution of the License Contracts for the exploration and production of hydrocarbons in Blocks 123 and 124: García Sayán Abogados advised Conoco Phillips, whose subsidiary Burlington Resources Perú Limited through its branch in Perú, executed with Perupetro S.A. the Blocks 123 and 124 License Contracts for the performance of oil and gas exploration and production activities in the jungle areas of Loreto. Block 123 has an extension of 1'256,259 hectares and Block 124 of 991,078 hectares. These Contracts have a guaranteed Minimum Program including seven periods for the exploration phase representing an estimated investment of US$108 million dollars and mark the return of Conoco Phillips to the up-stream business in Perú after more than 20 years. (September, 2006)
 
MISCELLANEOUS
 
Miss Shirley Cárdenas returned to the firm after obtaining in Spain a Masters Degree in Tax Consulting from the Universidad de Navarra and a Diploma on Taxation Law from the Universidad Internacional Menéndez Pelayo (Santander) as well as practicing at the law firm of Alcántara, Blay & Del Coso Abogados (Barcelona). Miss Cárdenas will be working with the firm's Taxation and Customs law group. In December, 2006 Mr. Alfonso Tola joined the firm as a new associate, after working as attorney in Prima AFP's legal department. Graduated with a cum laude degree, from the Universidad de Lima School of Law, Mr. Tola will assist our clients in Finance, Securities Market Law Regulation and Peruvian Pension Funds Regulation.
